Summary: ToolsDock is free client-side software delivered via your browser. Use is at your own risk. We provide no warranties, and we don't receive your tool inputs. Don't use the Service for illegal or harmful activity.

1) Acceptance of Terms

By accessing or using ToolsDock (the "Service"), you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and ToolsDock.

If you do not agree to these Terms, you must not access or use the Service. Your continued use of the Service following any changes to these Terms constitutes acceptance of those changes.

If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2) Service Description

What We Provide

ToolsDock provides free, browser-based utilities including but not limited to:

  • Converters: Image, document, unit, color, and format converters
  • Generators: QR codes, barcodes, signatures, text, and more
  • Calculators: Various mathematical and utility calculators
  • Editors: Image, PDF, signature, and text editing tools
  • Validators: Format and compatibility checking tools

Client-Side Processing

  • Local execution: All tools run in your web browser using JavaScript. In typical operation, we do not receive, access, or store your tool inputs or uploaded files.
  • No accounts: You can use the Service without registration, login, or providing personal information.
  • No file uploads: Files you process remain on your device; they are not transmitted to our servers.

Your Responsibility

You are solely responsible for:

  • The data and files you choose to process
  • Validating outputs before relying on them for any purpose
  • Maintaining backups of your original files
  • Ensuring your use complies with applicable laws

3) No Professional Advice

The Service and all outputs are provided for informational and convenience purposes only. Nothing provided through the Service constitutes:

  • Legal advice
  • Financial or investment advice
  • Medical or healthcare advice
  • Engineering or technical certification
  • Professional advice of any kind

For matters requiring professional expertise, consult a qualified professional in the relevant field. Do not make important decisions based solely on outputs from our tools.

4) User Content and Data

Sensitive Data Warning

While processing occurs locally, we recommend against processing highly sensitive data (such as medical records, financial credentials, or classified information) using any web-based tool. If you choose to do so, you accept all associated risks.

5) Prohibited Uses

  • Use the Service for any illegal purpose or in violation of any laws
  • Attempt to reverse-engineer, decompile, or disassemble the Service

  • Fitness for purpose: We disclaim any implied warranty of fitness for a particular purpose

9) Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, TOOLSDOCK AND ITS OWNERS, OPERATORS, EMPLOYEES, AGENTS, CONTRIBUTORS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or goodwill
  • Business interruption or lost business opportunities
  • Damages arising from your reliance on any output or information from the Service
  • Damages arising from unauthorized access to or alteration of your data

This limitation applies regardless of the legal theory (contract, tort, negligence, or otherwise) and even if we have been advised of the possibility of such damages.

In jurisdictions that do not allow the exclusion or limitation of liability for consequential damages, our liability shall be limited to the maximum extent permitted by law.

Maximum liability: In no event shall our total liability exceed $100 USD or the amount you paid us in the past 12 months (if any), whichever is greater.

10) Indemnification

You agree to indemnify, defend, and hold harmless ToolsDock and its owners, operators, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of any third party
  • Any content you process, create, or distribute using the Service

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification, in which case you agree to cooperate with our defense.

12) Termination

13) Governing Law and Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws applicable in your jurisdiction, without regard to conflict-of-law principles.

Informal Resolution

Before initiating any formal dispute resolution, you agree to first contact us at legal@toolsdock.com and attempt to resolve the dispute informally for at least 30 days.

Arbitration (Where Applicable)

In jurisdictions where permitted, any dispute that cannot be resolved informally may be submitted to binding arbitration. Class action lawsuits and class-wide arbitrations are not permitted where legally waivable.

Exceptions

Nothing in this section prevents either party from seeking injunctive relief in court to prevent imminent harm or protect intellectual property rights.

14) General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and ToolsDock regarding the Service.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
  • No Waiver: Our failure to enforce any provision is not a waiver of our right to enforce it later.
  • Assignment: You may not assign or transfer these Terms or your rights without our consent. We may assign our rights freely.
  • Headings: Section headings are for convenience only and do not affect interpretation.
  • Language: These Terms are written in English. Any translations are provided for convenience only.
